1. APPLICATION OF CONDITIONS 1.2 These Conditions will apply to the exclusion of any other terms and conditions, unless otherwise agreed in writing. 1.3 Each order that the Buyer places shall be deemed to be an offer by the Buyer to purchase Products from The Bedroom, the Seller, subject to these conditions. 1.4 If for any reason The Bedroom does not accept your order, we will advise you a soon as practical & there will be no further binding contract. 1.5 The Buyer must ensure that the details that they provide at the time of Order must be complete and accurate and that they provide us with all the necessary information relating to the supply of the Goods within a sufficient time to enable us to perform the Contract in agreement with these conditions. 2. BASIS OF SALE 2.1 Subject to clause 3, the Seller shall sell and the Buyer shall buy the Products in accordance with the Confirmation. 2.2 The description of the goods shall be set out in writing in the conformation. 2.3 Any item that is not a bed (unless stated otherwise) that appears in any illustration or photograph will not be included in the sale. Such items (e.g. headboards, lamps, tables, bedding etc) are for illustration purposes only. 2.4 Any error made on our website, in the conformation, in the invoice, price list, any brochures or any documentation issued by us will be subject to correction without any liability on the part of The Bedroom. 3. BUYER'S RIGHT TO CANCEL THE CONTRACT 3.1 The Buyer may cancel the Contract by giving written notice at any time during the Cancellation Period. 3.2 If the Goods are not cancelled in accordance with clause 3.1 then the Buyer shall be deemed to have accepted the Goods (this does not include manufacturing faults which will be covered by the individual manufactures guarantees) and will not be able to return the Goods to us. 3.2 The right to cancel in this clause 3.1 applies only to contracts attained over the internet. 4. IF THE BUYER CANCELS THE CONTRACT 4.1 Subject to clause 3, if you wish to cancel the contract & we have delivered the goods to you, then you must keep possession and take care of the Goods until you send your cancellation notice to us & the Goods have been collected. THE GOODS CANNOT BE USED. 4.2 If you cancel the Contract before the Goods have been delivered there will be an administration charge of £15. If you cancel the Contract after the Goods have been delivered there will be an administration charge of £30 (£50 for next day deliveries), which will be deducted from your refund. 4.3 If you do cancel the Contract after the Goods have been delivered then: 4.3.1 Until the time when we collect the Goods from you, you must retain possession of them. They must have good care taken of them and stored them accordingly, they must not be used. 4.3.2 You must make the Goods at hand and accessible for collection, by us at a time when we will arrange with you and confirm with you. They must be in the original packaging and the original, unassembled condition in which you received them. 4.3.3 We will refund you any money that you have paid (by cash, cheque or credit card) minus our collection charge of £29 under the contract to the person by whom payment was made as soon as is possible. 4.4 Once you cancel the Contract: 4.4.1 You must give the Goods back to us (and until the agreed time that we come & collect them, you must keep them in your possession and take good care of them); 4.4.2 We shall collect the Goods from your address (being the address that you have specified to us in your cancellation notice) as soon as practicable.; 4.5 Within 60 days of the day on which you sent us your cancellation notice we will give you notice requesting you to deliver up the Goods to us; and 4.5.1 You unreasonably refuse or fail to comply with our request, then you must continue to retain the Goods and take good care of them until such time as you give the Goods back to us. 4.6 We prefer to uplift the Goods back from you when you cancel the Contract. If, however, you decide to deliver the Goods back to us yourself then you must: 4.6.1 Deliver the Goods to our specified address 4.6.2 Take acceptable care to ensure that the Goods are not damaged in transit; and 4.6.3 Pay any costs of delivery or our collection 4.6.4 If the customer has removed the packaging, assembled or used the goods, then they are no longer eligible for return (with the exception of manufacturing faults) 4.7 If you give the Goods back to us and they have been damaged (and the damage is not the outcome of our actions or neglect) then you must pay what we believe to be a reasonable sum for the damage. That sum will not exceed the price for the Goods. We will supply you with an invoice for the damage and you must pay that invoice on the date specified in the invoice (or if no date is specified, then 30 days from the date of the invoice). You must pay for the damage out of the money that we are obliged to refund to you under clause 4.3.3 4.8 BESPOKE, SPECIAL SIZE OR ANY TAYLOR MADE PRODUCTS. Due to being made specifically to order, Taylor made and special sized products are not subject to any refund (with the exception of a manufacturing fault, please refer to individual manufacturers policies) once the order has been received. 5. PRICE 5.2 The supply of the Goods shall be at The Contract Price as set out in the Confirmation. 5.3 If any mistakes are made by us in the Confirmation or any invoice or any receipt we will correct that mistake within 30 days of being informed of the mistake. 6. PAYMENT AND DELIVERY 6.1 You must pay the full Contract price to us. 6.2 No Payment will be considered to have been received by us until The Bedroom has received the cleared funds. If you intend to pay for the Goods using a credit or debit card then we shall clear your transaction at the time of you placing your order, this & all other methods of payments for example cheques, must be fully cleared before we will arrange for the goods to go into despatch. 6.3 All delivery charges displayed on our web site are guide lines. We reserve the right to amend these charges at our discretion. 6.4 Unless agreed otherwise in writing the delivery of the Goods will take place: 6.4.1 At the address you have specified in the Order or if you require delivery to a different address then you must confirm this in writing. 6.4.2 Provided that we have delivered the goods to the address specified in the order or to the address that we have agreed on in writing, then the Goods will be deemed to have been delivered and The Bedroom will not be liable for non delivery of the goods. We do not have to satisfy ourselves that the person who signs for the Goods at the given address is you or has been authorised by you to accept delivery of the goods. 6.5 If the Goods that have been Ordered are not available for delivery within 60 days (or any other time limit agreed by both parties) or have been discontinued, we shall: 6.5.1 Notify you of this 6.5.2 Refund the full payment made for the order & both parties will be released from the contract. 6.6 The Bedroom will not be responsible for any loss or expenses caused directly or indirectly by any delay in the delivery of any Goods (even if caused by our negligence). 6.7 The quantity or content recorded by The Bedroom of the Goods at the time of dispatch from The Bedroom shall be conclusive evidence of the quantity or content received by you on delivery unless you can provide conclusive evidence proving the contrary. 7. GUARANTEES & WARRENTIES 7.1 We will endeavour to transfer to you the benefits of any manufacturers guarantee or warranty given to us. 7.2 Any manufacturers guarantee or warranty will only cover faults with the item that have arisen through a manufacturing defect. Please refer to individual manufacturers guarantees for details. 7.3 Any fault that is deemed to be due to a manufacturing defect, that is noted at the time of receiving the Goods, must be reported to The Bedroom in writing within 7 days of receipt of the Goods. 7.4 Any damage to the goods that appears to have occurred whilst in transit must be reported in writing within 7 days of the receipt of the Goods. 8. RISK AND TITLE 8.1 The Goods will be at your risk from the arrival of the Goods at the agreed Delivery Address. If you fail to take delivery of the Goods, then risk of the Goods will pass on to you at the time when we tendered delivery of the Goods. 8.2 Ownership of the Goods will not pass to you regardless of delivery and the passing of risk until we have received in full cleared funds all payment due to us in respect of: 8.2.1 The Goods; and 8.2.2 All other payments which are or which become due to us from you. 8.3 Until ownership of the Goods are passed to you, you must: 8.3.1 Hold the Goods on a acceptable basis as our bailee 8.3.2 Take care of and store the Goods (at no cost to us) in satisfactory conditions and in such a way that the Goods are easily identifiable as The Bedroom's property. 8.3.3 Make sure that any identifying mark or packaging on the Goods or relating to the Goods, is not blemished, destroyed or concealed and 8.3.4 Keep the Goods in an acceptable condition and take good care of them. 8.3.5 Have the Goods insured on our behalf for their full price against all risks to our satisfaction. If requested then you shall be required to produce the insurance policy to us and 8.3.6 Keep hold of the proceeds of the insurance (ref condition 8.3.5) in trust for The Bedroom in a safe secure place where they will not be confused or mixed with any other money. The proceeds must not be paid into an overdrawn bank account. 8.4 You must not sell on or use the Goods before the ownership has been passed to you. 8.5 You must allow us and our employees and agents a licence which cannot be revoked at anytime to access any premises where the Goods are located in order to inspect them, or, in the instance of your right to possession being ended, to recover them, and if necessary use reasonable force in doing so. 9. LIMITATION ON LIABILITY 9.1 The Seller's total liability in Contract, tort (including negligence or breach of statutory duty), misrepresentation, restitution or otherwise, arising in association with the performance or contemplated performance of this agreement will be limited to the price paid for the Products. 9.2 We shall not be liable to you for any indirect or consequential loss or damage (whatever the loss of profit, loss of business, depletion of goodwill or otherwise), costs, expenses or other claims for consequential compensation whatsoever (howsoever caused) which arise out of or in connection with the Contract. 9.3 The Contract shall be governed by the law of England and Wales and any dispute, question or remedy however so arising determined exclusively by the Courts of England and Wales. 10. GENERAL 10.1 Neither party will be liable for any delay or failure to perform any of its obligations if the delay or failure results from events or circumstances outside of their control, including but not limited to strikes, lock outs, accidents, war, fire, reduction or unavailability of power at the Seller's premises or its/ suppliers manufacturing plant, breakdown of plant or machinery or shortage or unavailability of raw materials from a natural source of supply, export or import regulations or embargoes (including the failure of the Seller's suppliers to obtain any necessary export permits, licences or other authorisations) and the party shall be entitled to a reasonable extension of its obligations. 10.2 Provided that, if any event referred to in clause 10.1 continues for a period in excess of 30 days, you shall be entitled to give us notice in writing to terminate the Contract. 11. COMPLAINTS AND DISPUTES 11.1 If you have any complaint regarding our products or level of service you can contact us by: 11.1.1 Post sent to The Bedroom, 8 Shaw Road, Oldham, Lancashire, OL1 3LQ, Email to sales@the-bedroom.net> or Telephone on 0161 620 6777 11.2 We will aim to reply in writing to your complaint within 14 working days of receiving it, our reply will include: 11.2.1 The action we propose to take in order to resolve your complaint; 11.2.2 The estimated time the action will take; and 11.2.3 The contact details of the person at The Bedroom who will be dealing with your complaint. 12. PRIVACY AND SECURITY POLICY 12.1 You may remain anonymous and do not have to reveal any personal information when visiting our website and accessing the public information. 12.2 If you do wish to purchase from us online then we will be required to ask you for certain personal information that will be required to process the order. We will only require the information that is relevant to the smooth process of the order & to perform the Contract. This information will be: 12.2.1 Kept by The Bedroom for the length of time required to perform the Contract; and 12.2.2 Held securely in accordance with the requirements set out in the Data Protection Act 1998. 12.3 We shall not transfer any of your personal information outside of the European Economic Union. 12.4 In agreement with our security policy, we will endeavours to ensure that: 12.4.1 Our ordering process is on a secure server and is encrypted to prevent any security breech; 12.4.2 Any information that you send to us (including personal information and credit or debit card details) is kept safe is not able to be intercepted by a third party. |
